Introduction

The Group is principally engaged in the design and sales of a diversified range of footwear products in Hong Kong and the PRC, mainly including casual, smart casual and sports casual footwear products. Since the commencement of the sales of footwear products by the Group in Hong Kong and the PRC in 1990 and 2000 respectively, the Group has established an extensive sales network in Hong Kong and the PRC. By May 2007, the Group had established 386 self-managed sales points comprising 56 sales points located in Hong Kong and 330 sales points located in 23 provinces in the PRC covering over 55 cities such as Guangzhou, Shenzhen, Wuhan, Hnagzhou, Nanjing, Kunming, Chengdu, Xian, Shenyang and Harbin as well as four municipalities, namely Beijing, Tianjin, Shanghai and Chongqing in the PRC. In addition, as at the Latest Practicable Date, there were six franchised concessions operated by the Taiwan Franchisee for the sales of the Group’s footwear products in Taiwan.

The Group operates its self-managed sales points under the following categories:

Multi-brands sales points
The multi-brands sales points with the name of WALKER SHOP are operated under the concept of “one-stop shop” which mainly sell a diversified range of footwear products in Hong Kong and the PRC.

Specialty sales points
The specialty sales points of the Group mainly sell footwear products under one single in-house brand or licensed brand which are generally considered by the Group as successful in the market, or having high market potentials for separate development.

The self-managed sales points of the Group in Hong Kong and the PRC generally can be classified into two categories, namely shops and concessions. Shops are the premises leased by the Group for conducting sales activities where the Group collects the sales receipts by itself. Concessions are the sales counters or sales areas operated or occupied by the Group in various department stores or shopping malls where the sales receipts of the Group are generally collected by the operators of the relevant department stores and shopping malls which will be settled with the Group subsequently. Among the 386 self-managed sales points of the Group in Hong Kong and the PRC as at the [Latest Practicable Date], there were 50 shops and one shop located in Hong Kong and the PRC respectively, whilst there six and 329 concessions located in Hong Kong and the PRC respectively.

本集團主要在香港、中國及台灣從事多種鞋類產品之設計及銷售,主要包括休閒鞋、 商務休閒鞋及運動休閒鞋產品。自本集團在一九九零年及二零零零年分別於香港及中國展開鞋類產品銷售業務以來, 本集團在香港及中國均已建立其龐大銷售網絡。載至二零零七年五月,本集團已開設393個自營銷售點, 當中56個銷售點位於香港,另有337個銷售點位於中國23省超過55個城市 (如廣州、深圳、武漢、杭州、南京、昆明、成都、西安、瀋陽、長春及哈爾濱) 以及中國四大直轄市北京、天津、上海、及重慶,組成龐大銷售網絡,銷售其鞋類產品。此外, 六個特許經營專櫃乃由台灣加盟商於台灣經營。

本集團所經營之自營銷售點可分為下列類別:

多品牌銷售點
以WALKER SHOP為名經營之多品牌銷售點,乃按「一站式商店」之經營概念經營,主要在香港及中國提供多種鞋類產品。

專賣店
本集團之專賣店,主要售賣單一自創品牌或授權品牌名下之鞋類產品,本集團一般認為該品牌於市場上取得成功,或具高市場潛力可自行發展。

本集團之自營銷售點大致可分為兩類,即店舖及專櫃。店舖乃本集團以租賃安排方式佔用以經營銷售活動之處所, 銷售所得款項由本集團自行收取。專櫃為本集團於多個百貨公司或商場經營或佔用之專門櫃位或售貨區, 本集團之銷售所得款項通常由相關百貨公司及商場之經營商收取後再向本集團發放。於最後實際可行日期, 在本集團393個位於香港及中國的自營銷售點當中,有分別有50家及1家店舖位於香港及中國, 另分別有6個及336個專櫃位於香港及中國。
